BIG Intelligence Nexus — Terms of Service

These Terms of Service (these "Terms") are a binding agreement between you and BIG INTELLIGENCE AI, LLC, a Michigan limited liability company ("BIG Intelligence," "we," "us," or "our"). They govern your use of our Nexus platform at https://truthgap.bigintelligenceai.com (the "Service") and any Brand Coherence Audit reports we sell through it (each a "Report"). By using the Service or purchasing a Report, you agree to these Terms.

Please read Section 8 (No Advice, No Warranty), Section 9 (Limitation of Liability), and Section 15 (Dispute Resolution) carefully. They contain important limits on our responsibility to you and on how any dispute will be resolved.

1. Who we are and what we sell

BIG Intelligence operates the Nexus platform. Through Nexus, we publish Brand Coherence Score ("BCS") data and analysis for vehicles across major automotive manufacturers and sell downloadable PDF Reports containing per-vehicle analysis.

Pricing (all one-time transactions, no subscriptions):

  • Single vehicle report: $4.99
  • Bundle of three reports: $11.99

BIG INTELLIGENCE AI, LLC is the merchant of record for every sale on the Service. Payments are processed by Stripe; the seller you contract with is BIG INTELLIGENCE AI, LLC.

2. Free tiers

We offer:

  • A free browsing tier with limited access to on-site content; and
  • A free sign-up tier that grants one (1) free Report credit after passwordless email verification.

Free credits are personal to your account, non-transferable, have no cash value, and are subject to change or discontinuation at our discretion. Free credits do not create any payment or refund obligation on our part. See our Refund Policy for details.

3. Accounts and passwordless sign-in

We use passwordless email verification. You provide an email address; we send a one-time verification code; on entry we issue a session token stored in a browser cookie. You are responsible for the email account you register with us and for keeping the device on which the session lives reasonably secure. If you suspect unauthorized use of your account, sign out and notify us at support@bigintelligenceai.com.

We do not store passwords; we do not require you to create one.

4. Delivery of Reports

After a successful purchase you receive an invoice email and a Report-delivery email. The Report-delivery email contains a signed download link that expires 24 hours after issuance. You can log into your account at any time to re-generate a fresh 24-hour link — your right to download the Report you purchased does not lapse when a single link expires.

Some vehicles may not have a Report available at the moment of purchase. In that case the Report-delivery email will notify you that your Report will be delivered within 48 hours of purchase.

5. License granted to you

For each PDF Report you purchase or receive through a free credit, we grant you a limited, non-exclusive, non-transferable, revocable, personal, non-commercial license to view, download, and print the PDF for your own personal reference and personal vehicle-shopping research.

You may not, without our prior written permission:

  • Redistribute, resell, sublicense, republish, or post the PDF or its contents to any public or third-party channel, including on any social-media platform, forum, marketplace, or file-sharing service;
  • Use any Report, any BCS data, or any BIG Intelligence Content for commercial resale, competing-product development, machine-learning training, or systematic analytical output;
  • Scrape, crawl, bulk-download, or reverse-engineer the Service, its APIs, or its data;
  • Remove or alter any copyright, trademark, watermark, or other proprietary notice; or
  • Use the Service in violation of any applicable law.

The license terminates automatically if you breach these Terms.

6. Our intellectual property

The Nexus platform, the Brand Coherence Score methodology, the attribute framework, the weight matrices, the calibration rules, the coherence-adjustment rules, the Report templates and layouts, the on-site copy, the score narratives, the radar visualizations, and all analytical output produced by us (collectively, the "BIG Intelligence Content") are the intellectual property of BIG INTELLIGENCE AI, LLC or its licensors. We reserve all rights not expressly granted to you in Section 5. Nothing in these Terms transfers ownership of any BIG Intelligence Content to you.

7. Third-party marks; nominative fair use; independence from manufacturers

Manufacturer names, brand names, model names, logos, badges, trade dress, and marks — including but not limited to Ford, Toyota, Rolls-Royce, and every other automotive-manufacturer mark referenced on the Service — are the property of their respective owners. We reference these marks solely to identify the subject of our analysis, to enable comparison, and to comment on that subject. Our use is nominative fair use.

BIG Intelligence is not affiliated with, endorsed by, sponsored by, or authorized by any vehicle manufacturer. Nothing on the Service, in any Report, or in any marketing copy implies a partnership, joint venture, license, distribution arrangement, or endorsement between BIG INTELLIGENCE AI, LLC and any manufacturer.

Third-party ratings, test results, and data points cited on the Service — including materials attributable to the Insurance Institute for Highway Safety (IIHS), the National Highway Traffic Safety Administration (NHTSA), J.D. Power, the U.S. Environmental Protection Agency (EPA), Kelley Blue Book (KBB), Edmunds, and manufacturer press materials — are the property of their respective owners. We cite specific published findings for the purpose of analysis, commentary, and comparison; we do not republish those third parties' underlying datasets wholesale. The presence of a third-party citation on our Service is not an endorsement of BIG Intelligence by that third party.

If you own a mark used on the Service and believe our use is not permitted, contact support@bigintelligenceai.com and we will review promptly.

8. BCS is analysis and opinion — not advice, not a warranty, not a safety rating

Please read this section carefully.

Every Brand Coherence Score, attribute score, weight assignment, coherence delta, "action required" flag, radar shape, and written narrative published or delivered through the Service is the product of BIG Intelligence's proprietary methodology applied to publicly available third-party data and to manufacturer statements. Every score is editorial opinion and analysis. Every score reflects the assumptions built into our methodology and the calibration rules we apply.

The Service and every Report:

  • Are not purchase advice and must not be relied upon as the sole or primary basis for any decision to buy, lease, finance, insure, sell, or accept delivery of any vehicle;
  • Are not a safety rating, a crash-test result, a defect notice, a recall notice, a reliability guarantee, a mechanical warranty, or a fitness-for-purpose statement;
  • Are not a warranty of any kind, express or implied, regarding any vehicle's quality, reliability, safety, performance, resale value, dealer availability, insurability, or future condition;
  • Are not a statement of fact about any vehicle, manufacturer, or brand — they are analysis of publicly available material, framed as commentary and comparison.

You are solely responsible for your own vehicle-purchase decisions. Before purchasing, leasing, financing, or accepting delivery of any vehicle, you should conduct your own independent research, review the manufacturer's official materials, review official safety data at nhtsa.gov and iihs.org, obtain and read the applicable owner's manual and warranty documentation, inspect the vehicle in person or through a qualified inspector, and consult professionals (a licensed mechanic, insurance broker, financial advisor, or attorney) as appropriate to your circumstances.

Disclaimer of warranties. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIG INTELLIGENCE AI, LLC DISCLAIMS ALL WARRANTIES OF ANY KIND WITH RESPECT TO THE SERVICE AND EVERY REPORT, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TITLE, AND QUIET ENJOYMENT. THE SERVICE AND EACH REPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE." NO ORAL OR WRITTEN STATEMENT BY BIG INTELLIGENCE OR ANY THIRD PARTY CREATES A WARRANTY THAT IS NOT EXPRESSLY STATED IN THESE TERMS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, in no event will BIG INTELLIGENCE AI, LLC, its members, officers, employees, contractors, or agents be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind — including lost profits, lost data, lost opportunity, damages arising from any vehicle purchase, lease, financing, insurance, or use decision, or damages arising from any inability to access or use the Service — whether arising in contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

Cap on liability. BIG INTELLIGENCE AI, LLC's total aggregate liability to you arising out of or relating to the Service or these Terms, in any twelve-month period, is limited to the greater of (a) the total amount you actually paid to BIG INTELLIGENCE AI, LLC for Reports in the twelve months preceding the event giving rise to the claim, or (b) fifty U.S. dollars ($50.00).

Some jurisdictions do not allow the exclusion of certain warranties or limitations on certain damages. To the extent an exclusion or limitation in these Terms is not enforceable in your jurisdiction, that provision will apply to the maximum extent permitted, and the remaining provisions will remain in effect.

10. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation, or the rights of any third party;
  • Circumvent any authentication, entitlement, or gating mechanism;
  • Access, probe, or test any part of the Service you are not authorized to access;
  • Interfere with or disrupt the Service or the servers or networks that host it;
  • Send spam, phishing, malware, or automated traffic;
  • Farm free credits by repeated sign-in, disposable-email cycling, or any other pattern intended to obtain paid deliverables without paying;
  • Develop, train, or benchmark a competing product or analytical service using the Service or its output.

We may suspend or terminate access at our discretion for violations of this section.

11. Availability; no uptime guarantee

We make reasonable efforts to keep the Service available and its content accurate, but we do not guarantee uninterrupted availability, error-free operation, or freedom from bugs. We may modify, suspend, or discontinue any feature at any time. Scheduled maintenance and unplanned outages may occur. Availability of a specific Report may be limited by our dataset coverage; where a Report is not immediately available, the 48-hour delivery notice described in Section 4 applies.

12. Changes to the Service; changes to these Terms

We may modify or discontinue features of the Service at any time. We may also update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page and, for material changes, we will take reasonable steps to notify existing account holders (for example, by email to the address on file, or by an on-site notice). Continued use of the Service after the effective date of any update constitutes acceptance of the updated Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access with or without notice for a violation of these Terms, for suspected fraud or abuse, or for any other reason permitted by law. Sections 5 (license limits), 6 (our IP), 7 (marks), 8 (disclaimers), 9 (limitation of liability), 14 (governing law and venue), and 15 (dispute resolution) survive termination.

14. Governing law and venue

These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of Michigan, USA, without regard to conflict-of-laws principles. Subject to Section 15, the exclusive venue for any court proceeding is the state or federal courts sitting in Oakland County, Michigan, and you and BIG INTELLIGENCE AI, LLC each irrevocably consent to the personal jurisdiction of those courts.

15. Dispute resolution

Informal resolution first. Before filing any formal proceeding, you agree to first contact us at support@bigintelligenceai.com with a written description of the dispute and to attempt in good faith to resolve it informally for at least thirty (30) days.

Small claims. Either party may bring an individual claim in the small-claims court sitting in Oakland County, Michigan, if the claim qualifies for that court's jurisdictional limits.

Waiver of class actions. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND BIG INTELLIGENCE AI, LLC EACH AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND EACH WAIVES ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

16. Miscellaneous

  • Entire agreement. These Terms, together with the Refund Policy and the Privacy Policy, are the entire agreement between you and BIG INTELLIGENCE AI, LLC regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce a provision on one occasion is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, sale of assets, financing, or reorganization.
  • Notices. Notices to you may be sent to the email address associated with your account. Notices to us, including notices with legal effect, must be sent to support@bigintelligenceai.com.
  • No agency. These Terms do not create a partnership, joint venture, employment, or agency relationship between you and BIG INTELLIGENCE AI, LLC.
